1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and [tCO2e legal entity name] (“tCO2e”, “we”, “us”), and govern your access to and use of the tCO2e platform, websites, and related services (the “Service”).

By accessing or using the Service, or by accepting these Terms when an account is created for you, you agree to be bound by them. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

tCO2e is a carbon-accounting platform that ingests documents (such as utility bills and invoices), uses automated and AI-assisted processing to extract data and estimate greenhouse-gas emissions under the GHG Protocol, identifies disclosure gaps, and generates reports.

Emissions figures produced by the Service are estimates derived from the data you provide and third-party emission factors. They are provided for informational purposes and are not a substitute for independent assurance, verification, or professional advice.

3. Accounts and access

Enterprise (“MNC”) accounts are provisioned by tCO2e. Suppliers may be invited to upload data through a secure, time-limited link without creating a standing account.

You are responsible for maintaining the confidentiality of your credentials and access links, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not: upload content you have no right to share; attempt to access data belonging to other customers; probe, scan, or test the vulnerability of the Service without authorisation; interfere with its operation; or use it to violate any applicable law.

You are responsible for ensuring you have the necessary rights and permissions to upload documents and data to the Service.

5. Your data and ownership

As between you and tCO2e, you retain all rights to the documents and data you submit (“Customer Data”). You grant us a limited licence to host, process, and analyse Customer Data solely to provide and improve the Service for you.

We may use aggregated and de-identified information that does not identify you or any individual to operate, analyse, and improve the Service.

6. AI and automated processing

The Service uses third-party AI providers to classify documents and extract data. Document contents may be transmitted to these sub-processors for that purpose. We select sub-processors that contractually commit not to train their models on your content. See our Privacy Policy for the list and details.

Automated extraction and classification can contain errors. You are responsible for reviewing outputs before relying on them for regulatory or financial purposes.

7. Fees

Fees, if any, will be set out in an order form or plan you agree to. Where the Service is currently provided without charge, we may introduce fees in future on reasonable prior notice.

8. Intellectual property

The Service, including its software, models, design, and content (excluding Customer Data), is owned by tCO2e and its licensors and is protected by intellectual-property laws. These Terms grant you no rights in the Service other than the limited right to use it as permitted here.

9. Third-party services

The Service relies on third-party infrastructure and providers (for example, cloud hosting, database, email, and AI providers). We are not responsible for the acts or omissions of third-party providers beyond our reasonable control.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.

We do not warrant that emissions estimates are accurate, complete, or suitable for any regulatory filing or assurance engagement.

11. Limitation of liability

To the maximum extent permitted by law, tCO2e will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to us in the twelve months before the claim, or [insert cap].

12. Term and termination

These Terms apply while you use the Service. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. You may stop using the Service at any time. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product notice). Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of [insert governing jurisdiction], and the courts of [insert jurisdiction] will have exclusive jurisdiction, without regard to conflict-of-laws rules.
